Large China Track to Hold Investor Panel on “Due Diligence” and “Assessing the Risk”, and Management Seminar on “Corporate Governance” and “Transparency”

2011 ROTH OC Conference

NEWPORT BEACH, Calif.--(BUSINESS WIRE)--ROTH Capital Partners (ROTH), www.roth.com, a full service investment bank recognized for providing financing and advisory services to emerging growth companies worldwide, today confirmed that approximately 100 China companies will be featured at its 23rd Annual OC Growth Stock Conference, ROTH’s largest conference to date. The conference serves as an ideal venue for investors interested in the China space to meet company management representing growth sectors including Consumer & Retail, Education, Global Energy & Industrials, Healthcare, Leisure and Technology through presentations or one-on-one meetings. This invitation-only event with over 430 presenting companies will be held March 13-16, 2011 at The Ritz Carlton, located at 1 Ritz Carlton Drive, Dana Point, California.

“China’s impressive economic expansion continued in 2010, posting 10.3% GDP growth, well outpacing the global growth rate of 3.9%.* The World Bank forecasts that China’s GDP will increase 8.7% in 2011 and 8.4% in 2012. Despite these favorable macroeconomic trends, many U.S.-listed Chinese equities trade at depressed multiples due to heightened investor skepticism. As individual companies have come under scrutiny from a variety of sources, the broader sector has suffered,” said Mark Tobin, Co-Director of Research at ROTH. “We view 2011 as a pivotal year and believe an attractive investment opportunity exists in identifying “transition” companies poised for multiple expansions upon implementing timely improvements in service providers, transparency, communication, governance, and internal controls. We expect these improvements will drive a refocus on fundamentals and a gradual convergence of multiples between the U.S. and overseas exchanges,” continued Tobin.

This year’s China Track will kick off on Monday, March 14th from 7:00 – 7:45 am with a China Investor Breakfast Panel featuring professionals with extensive China experience who will provide perspectives on the current investment environment. Topics include:

  • Essential criteria for assessing company quality and investment risk
  • Conducting effective due diligence
  • Transaction due diligence - “questions to ask the banker”
  • Common red flags and assessment methods
  • Auditor perspectives- audit procedures, assessing restatement risks
  • Legal considerations – corporate structure and public disclosures

This panel is sponsored by DLA Piper.

The conference’s China Program will also include a Management Seminar—the fifth’s in a series hosted by ROTH—for Chairmen and CEO/CFOs of Chinese companies on Tuesday, March 15th from 7:45 – 9:30 am. The seminar will be divided into two 45-minute segments, the first with presentations by an expert panel, and the second highlighting recent case studies presented by Chinese company chairmen and CEO/CFO’s who will discuss what they are doing given the current market environment.

Topics will include discussions around:

  • The critical importance of sound corporate governance and increased transparency
  • Auditor upgrades - the readiness process and cost benefit analysis
  • Increase in attacks by short sellers resulting in SEC enforcement actions and shareholder derivative lawsuits – how to best prepare your company
  • Dual listing in Hong Kong and other jurisdictions, including TDR listings in Taiwan
  • Going private - assessing the time and costs
  • Investor relations and communicating with the Street

This seminar is sponsored by Friedman LLP, Loeb & Loeb, FTI Consulting, Marcum, Bernstein & Pinchuk LLP, Nasdaq OMX, Pillsbury Winthrop Shaw Pittman LLP, PriceWaterhouse Coopers, Willis International and Winston & Strawn LLP.

Since 2003, ROTH has executed 83 financings in the U.S.-listed China space, raising over $3.1 billion for its China clients, and has significantly increased its market position in funding companies in this sector. ROTH was one of the first U.S. investment banks to focus on financing U.S.-listed Chinese companies and opened a Hong Kong Office in December 2010 and maintains a Shanghai Representative Office since 2007. ROTH’s China research team consists of 11 professionals who currently cover 70 U.S.-listed Chinese companies.

The three-day, institutional investor conference will be the largest ROTH conference to date and feature management presentations from companies representing a broad spectrum of sectors including: Healthcare, Media & Internet, Enterprise Software, Gaming, Semiconductors, Global Energy and Industrials and Retail & Consumer.
